1. ABOUT THESE TERMS

Welcome to Theodent Europe.

These Terms of Service govern your access to and use of shoptheodent.eu and purchases made through the online store.

PROFFSHOP, trgovina d.o.o. is VAT registered and registered with AJPES in Slovenia.

Throughout these Terms, “Theodent Europe”, “we”, “us” and “our” refer to PROFFSHOP, trgovina d.o.o. in its capacity as operator and seller through shoptheodent.eu.

By placing an order through the store, you agree to these Terms together with the Privacy Policy, Returns & Refunds Policy, Shipping Policy and other policies published on the website.

Nothing in these Terms limits any mandatory consumer rights granted to you under applicable law.

2. ELIGIBILITY AND CUSTOMER INFORMATION

Orders must be placed by a person who has the legal capacity to enter into a binding contract.

When placing an order, you must provide accurate, complete and current information necessary to process the transaction and deliver the order.

You are responsible for maintaining the confidentiality and security of any customer account and login credentials associated with the store.

3. PRODUCTS

We make reasonable efforts to ensure that product descriptions, images, prices, ingredients and other information displayed on the website are accurate and up to date.

Product images are illustrative. Colours, packaging and appearance may vary slightly depending on the device, production batch, packaging updates or other reasonable circumstances.

Product availability may change without notice.

We reserve the right to discontinue products or change the product range, packaging or presentation where permitted by law.

Information provided on shoptheodent.eu is intended for general product and educational purposes and does not replace professional dental or medical advice.

4. PRICES AND VAT

Prices applicable to consumer purchases are displayed in euros (EUR) and include VAT where required by applicable law, unless clearly stated otherwise.

Any delivery charges or other applicable costs are displayed before the customer confirms the order.

The final amount payable is shown during checkout before the customer places the order.

We may change prices at any time, but a price change will not affect an order that has already been accepted, except where correction of an obvious pricing error is legally permitted.

If an obvious technical or pricing error occurs, we may contact you before fulfilling the order and offer you the opportunity to confirm the order at the correct price or cancel it and receive a refund.

5. ORDERS AND CONCLUSION OF THE CONTRACT

By submitting an order through shoptheodent.eu, you make an offer to purchase the products shown in your order.

Before submitting the order, you will have the opportunity to review the selected products, quantities, delivery information and total price.

After the order is placed, you will receive an electronic confirmation.

A sales contract is concluded in accordance with the applicable checkout process and mandatory consumer law when the order has been accepted by us.

We reserve the right to decline or cancel an order where legally permitted, including in cases of:

product unavailability;
obvious pricing or technical errors;
payment failure;
suspected fraud or misuse;
incorrect or incomplete customer information;
legal or regulatory restrictions preventing fulfilment.

If we cancel an order after receiving payment, the appropriate amount will be refunded.

6. PAYMENT

Available payment methods are displayed during checkout.

We do not guarantee that every payment method will be available in every country or for every order.

You agree to provide valid and accurate payment information and confirm that you are authorised to use the selected payment method.

Payment processing may be performed by third-party payment service providers subject to their applicable terms and privacy policies.

7. PRODUCT AVAILABILITY

All orders are subject to product availability.

Inventory information is updated regularly, but in exceptional circumstances a product may become unavailable after an order has been submitted.

If we are unable to fulfil an order or part of an order, we will contact you and provide an appropriate solution, which may include cancellation and refund of the unavailable product.

8. SHIPPING AND DELIVERY

Available delivery methods and applicable shipping costs are shown during checkout.

Delivery availability may depend on destination, product and other relevant factors.

Any delivery or dispatch time displayed on the website or during checkout is an estimate unless explicitly stated otherwise.

We will take reasonable steps to deliver orders within the indicated timeframe and in accordance with applicable consumer law.

For consumer purchases, the risk of loss or damage to the goods generally passes to the consumer when the consumer, or a third party designated by the consumer other than the carrier, acquires physical possession of the goods, unless mandatory law provides otherwise.

Please ensure that the delivery address provided during checkout is complete and correct.

9. CONFORMITY OF GOODS AND CONSUMER RIGHTS

Consumers are entitled to statutory rights relating to the conformity of goods with the sales contract.

If a product does not conform to the contract, the consumer may exercise the remedies available under applicable consumer law.

These statutory rights are separate from the voluntary right to return a product where applicable and are not restricted by our Returns & Refunds Policy.

Please provide your order number and a description of the issue and, where appropriate, photographs or other information that can help us assess the matter.

10. RIGHT OF WITHDRAWAL

Consumers purchasing through a distance contract generally have the right to withdraw from the contract without giving a reason within 14 days, subject to the exceptions provided by applicable law.

For goods, the withdrawal period generally begins on the day when the consumer or a third party designated by the consumer, other than the carrier, acquires physical possession of the goods.

To exercise the right of withdrawal, the consumer must inform us of the decision to withdraw through a clear statement before the withdrawal period expires.

After notifying us of the withdrawal, the consumer must return the goods without undue delay and, in any event, within the period required by applicable law.

11. RETURNS AND REFUNDS

Where a valid right of withdrawal is exercised, we will refund the payments that must be reimbursed under applicable law.

The refund will be made without undue delay and within the statutory period.

Where permitted by law, we may withhold reimbursement until we have received the returned goods or the consumer has supplied evidence of having sent them back, whichever occurs first.

Where applicable, the refund includes the cost of the least expensive standard delivery method offered by us. Additional costs resulting from the customer's choice of a more expensive delivery method are not required to be refunded where the law allows this.

Unless otherwise stated or required by law, the consumer bears the direct cost of returning goods following a withdrawal.

The consumer is responsible only for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.

12. HEALTH AND HYGIENE EXCEPTION

Applicable consumer law provides certain exceptions to the right of withdrawal.

In particular, the right of withdrawal may not apply to sealed goods that are not suitable for return for reasons of health protection or hygiene where the seal has been opened after delivery and the legal requirements for this exception are met.

This exception is assessed according to the nature and condition of the relevant product and applicable law.

The mere fact that a product has been delivered does not automatically remove the consumer's statutory right of withdrawal.

13. DAMAGED OR INCORRECT ORDERS

If you receive a damaged, incorrect or incomplete order, please contact us as soon as reasonably possible at:

Nothing in this section limits your statutory rights regarding non-conforming goods.

14. PROMOTIONS AND DISCOUNTS

From time to time we may offer discounts, promotional codes, bundles or other promotional offers.

Additional terms may apply to a particular promotion.

Unless otherwise stated, promotional offers cannot necessarily be combined.

Any price reduction will be presented in accordance with applicable consumer pricing rules.

15. BUSINESS CUSTOMERS

Certain products, professional accounts, wholesale opportunities or distribution arrangements may be available to businesses and dental professionals.

Where an order or agreement is entered into by a customer acting entirely in the course of business, consumer-specific rights may not apply to the extent permitted by law.

Separate B2B, wholesale or distribution terms agreed between PROFFSHOP, trgovina d.o.o. and a business customer take precedence over these Terms where they expressly regulate the same matter.

16. INTELLECTUAL PROPERTY

The content available through shoptheodent.eu, including text, graphics, designs, photographs, videos, logos, trademarks, product names and other material, is protected by applicable intellectual-property laws.

Theodent trademarks and related brand assets belong to their respective rights holders and are used with appropriate authorisation.

Content may not be reproduced, distributed, modified, commercially exploited or otherwise used without permission except where allowed by law.

17. CUSTOMER REVIEWS AND FEEDBACK

If you voluntarily submit a product review, testimonial, feedback or other content to us, you confirm that you have the right to provide that content.

You grant us a non-exclusive, worldwide and royalty-free right to display, reproduce and use that content for legitimate operation and promotion of the store and Theodent products, subject to applicable law and privacy rights.

You must not submit unlawful, defamatory, misleading, infringing or otherwise prohibited content.

We may moderate or remove content where reasonably necessary.

18. THIRD-PARTY SERVICES AND LINKS

The website may contain links or functionality provided by third parties.

We are not responsible for the content, availability or privacy practices of third-party websites that are not under our control.

Customers should review the applicable terms and privacy policies of third-party services before using them.

19. SHOPIFY

shoptheodent.eu is powered by Shopify, which provides the technical e-commerce platform used to operate the store.

The sales contract for products purchased through this store is concluded with PROFFSHOP, trgovina d.o., not with Shopify.

Shopify may process certain personal information in connection with providing its services, as further explained in our Privacy Policy and Shopify's own privacy documentation.

20. PRIVACY AND COOKIES

Personal information is processed in accordance with our Privacy Policy and applicable data protection law.

Information regarding cookies and similar technologies is provided in our Cookie Policy and through the privacy and cookie preference tools available on the website.

21. ACCEPTABLE USE

You may not use the website or Services:

for unlawful or fraudulent purposes;
to infringe intellectual-property rights;
to distribute malicious software;
to interfere with the security or operation of the website;
to obtain unauthorised access to systems or data;
to submit false or misleading information;
to collect personal data unlawfully;
to engage in activities prohibited by applicable law.

We may restrict access where reasonably necessary to protect the website, customers, business or third parties.

22. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

In particular, nothing in these Terms limits mandatory consumer rights or liability that cannot legally be excluded.

To the extent permitted by law, we are not responsible for losses caused by events outside our reasonable control or losses that were not reasonably foreseeable at the time the contract was concluded.

23. EVENTS OUTSIDE OUR REASONABLE CONTROL

We are not responsible for delays or failures caused by circumstances outside our reasonable control, provided that this does not limit any mandatory consumer rights.

Such circumstances may include major transport disruption, natural disasters, governmental action, widespread technical failures or other comparable events.

We will take reasonable steps to minimise the impact of such events.

24. ALTERNATIVE DISPUTE RESOLUTION

We encourage customers to contact us first so that we can attempt to resolve any complaint directly.

PROFFSHOP, trgovina d.o.o. does not recognise any specific out-of-court consumer dispute resolution provider as competent for resolving consumer disputes, unless mandatory law requires otherwise.

The former European Union Online Dispute Resolution (ODR) platform is not referenced because it has been discontinued.

This does not affect any consumer rights to use dispute-resolution procedures or remedies available under applicable law.

25. GOVERNING LAW

These Terms and contracts concluded through shoptheodent.eu are governed by Slovenian law.

For consumers, this choice of law does not deprive you of mandatory consumer protections provided by the law of the country in which you have your habitual residence where those protections apply.

Any dispute will be subject to the jurisdiction determined by applicable mandatory consumer and procedural law.

26. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.

27. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in law, our business or the operation of the store.

The current version will be published on this website together with the date of the latest update.

Changes will not retroactively reduce rights relating to contracts already concluded where this would not be permitted by law.
